An exciting opportunity has arisen to join a world leading global organisation, our client Leading Global FMCG Company with Brands such as Dove, Knorr, Persil & Magnum are currently looking for a Company Secretarial Assistant based at their prestigious facility in Blackfriars. This is a full-time temporary role for a period of 6 months, working a 36.25 hour week. This role is paying between £36,800 and £46,000 per annum, pro rata, depending on experience.

The Corporate Secretaries Department (CSD) is part of UL's Corporate Centre and reports to the Chief Legal Officer and Group Secretary. This position sits within the London section of CSD, which provides legal advice and ensures that UL PLC and its overseas subsidiaries, meets their statutory, regulatory and best practice requirements within the Company Secretarial and governance fields world-wide. CSD works closely with CSD Rotterdam who provide a similar service for Unilever N.V. to ensure that the advice and service provided is closely co-ordinated and on a holistic basis.

The main purpose of the role is to support both the Head of Secretariat and the Assistant Secretary to deliver key administrative deliverables such as the release of required stock exchange announcements and circulating and filing of minutes for subsidiary companies.

Key Accountabilities:

  • Drafting, circulating and filing of minutes for subsidiary companies (e.g., appointment/resignation of directors etc).
  • Providing support for the subsidiary statutory accounts process and the subsequent filings.
  • Assist with the execution of documents on behalf of the UK entities.
  • Assist in managing the Group Structure charts and their accuracy.
  • Supporting the UK entities overseas subsidiaries and liaising with local legal colleagues to ensure that all overseas requirements are met, and any overseas document execution is completed.
  • Help administrate the Blueprint One world System, dealing with queries from overseas legal colleagues.
  • Assist with the implementation of new legislation for UK subsidiaries.
  • Overseeing and maintaining the filing and archiving systems
  • To assist in the project management and arrangements for PLC's 2019 Annual General Meeting; including the drafting and management of the voting forms for use at the PLC AGM and other shareholder meetings;
  • To be a day-to-day contact for PLC's registrars and respond to shareholder queries as appropriate.
  • To assist in the regulatory announcements required to be made via RNS, AFM and the SEC in London, Amsterdam and the US, respectively, as appropriate, in relation to the UL share listings, including Director and PDMR dealings;
  • To assist in the process leading to the release of the Group's quarterly results to the various regulatory bodies where Unilever is listed;
  • To assist in the maintenance of Director's share interests in PLC and NV records;
  • To assist in the approval of PLC's dividend stationary and subsequent payment;
  • To assist in CSD's involvement in employee share plans, including liaison with UL's internal and external share plan administrators;
  • To assist in CSD's departmental control testing in accordance with the Sarbanes-Oxley compliance programme;
  • To respond to shareholder / debt / loan holder / dissenter enquiries / correspondence received via email or letter;
  • To assist in ensuring that the corporate governance pages of the Corporate website is kept up to date and new / amended policies for which CSD London is responsible for are duly posted on the intranet / internet as appropriate; and

Skills/ Experience/ Qualifications:

  • ICSA, legal or finance background required
  • Experience working in a Company Secretarial Department will be an advantage
  • Computer Skills - Word, Excel
  • Ability to work independently
  • Accuracy and attention to detail
  • It will be an advantage to have the following skills:
  • Knowledge and application of the legal and regulatory requirements of a UK listed company
  • Experience of Blueprint OneWorld
  • Experience of working with legal advisors and other third-party providers
  • Experience of liaising in a multinational corporate environment
